Why BVI.

The British Virgin Islands is the most widely used offshore corporate jurisdiction in the world, and its crypto regime carries that pedigree. Under the Virtual Assets Service Providers Act 2022 (effective 1 February 2023), any business providing virtual-asset services as a profession to third parties from or in the BVI must register with the Financial Services Commission (FSC). Three categories cover the market: a general VASP registration (wallets, payments, DeFi and blockchain infrastructure), custody, and exchange.

The commercial appeal is distinctive. There is no minimum capital requirement — instead, the FSC requires evidence that the company can cover six to twelve months of operating expenses — and BVI entities pay 0% corporate tax. But this is a substantive registration, not a formality: the FSC expects a detailed business plan, AML/KYC policies, a risk-assessment framework, fit-and-proper evidence for directors and beneficial owners, and genuine operational infrastructure, and it requires two directors, an Anti-Money Laundering Officer and an auditor. Official application fees run USD 5,000–15,000 (with custody and exchange at the top), and total first-year cost typically lands in the USD 22,000–70,000+ range with ongoing maintenance. The statutory window is four to six months, though realistic timelines run eight to fourteen months depending on the FSC's caseload.
